1. Scope of Services:

d) Employee Relations: Handling employee grievances, disputes, and conflict resolution.

e) Benefits Administration: Managing employee benefits, including health insurance, retirement plans, and other benefits programs.

f) Payroll and Compliance: Ensuring payroll processing and compliance with labor laws and regulations.

g) Performance Management: Implementing performance appraisal systems and employee development plans.

h) Termination and Offboarding: Managing the exit process, including terminations, exit interviews, and compliance with employment laws.

i) Record-Keeping: Maintaining employee records and ensuring data privacy and security.

1.2 The HR Management Company agrees to provide these services in a professional and timely manner, adhering to all applicable laws and regulations.

2. Term

2.1 This Contract shall commence on the Effective Date and shall remain in effect for a term of [Initial Term] unless terminated earlier following the provisions of this Contract.

2.2 Either party may terminate this Contract upon [Notice Period:________________ written notice to the other party if a material breach of this Contract is not cured within [Cure Period].

3. Compensation:

5.1 Provider shall comply with all federal, state, and local laws and regulations applicable to the provision of HR management services.

6. Indemnification:

6.1 Provider shall indemnify and hold the Company harmless from any claims, liabilities, losses, or damages arising out of the Provider’s negligent or willful acts or omissions in the performance of services under this Contract.

7. Governing Law

7.1 This Contract shall be governed by and construed following the laws of [Your Jurisdiction], without regard to its conflict of law principles.

8. Entire Agreement:

8.1 This Contract, including all exhibits and attachments, constitutes the entire agreement between the parties and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties.
